1. Definitions
1.2 Due to the nature of the Goods and Services we provide, we do not supply Goods or Services to consumers. You are a consumer if: –
1.2.1 you are acting for purposes (i.e. buying goods and/or services) which are wholly or mainly for your personal use (i.e. outside your trade, business, craft or profession).
1.2.2 you are an individual (i.e. not a limited company or a limited liability partnership); and
1.3 By submitting an order with us you agree and confirm that you are not a consumer. If you are a consumer or consider you may be a consumer then please do not attempt to order from us but contact us to see how we can help.
- “Company” refers to i4Automation Ltd.
- “Customer” refers to any business or individual purchasing goods from the Company.
- “Goods” means the electrical control equipment and Tally Counters and related products supplied by the Company.
2. Application
These Terms and Conditions apply to all quotations, sales, and deliveries of Goods by the Company unless otherwise agreed in writing. Any terms proposed by the Customer are excluded unless expressly accepted by the Company.
3. Quotations and Orders
- Quotations are valid for 30 days unless stated otherwise.
- Orders are accepted subject to availability and confirmation by the Company.
- A binding contract is formed only upon written acceptance or dispatch of Goods.
4. Pricing
- All prices are quoted in GBP (£) and exclude VAT unless stated.
- Prices may fluctuate due to changes in supply costs, shipping, and exchange rates.
- The Company reserves the right to adjust prices after order acknowledgment but before dispatch if there is a material increase in the cost of Goods.
5. Payment Terms
- Payment is due within 30 days of invoice unless otherwise agreed.
- Late payments may incur interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
- The Company reserves the right to suspend deliveries or cancel orders for overdue accounts.
6. Delivery
- Delivery dates are estimates and not guaranteed.
- Risk passes to the Customer upon delivery.
- The Customer must inspect Goods upon receipt and notify the Company of any defects or discrepancies within 3 days.
7. Returns and Cancellations
- Returns are accepted only with prior written consent and may be subject to a restocking fee.
- Custom or special-order items are non-returnable unless defective.
- Cancellations must be made in writing and may incur charges if Goods have been prepared or dispatched.
8. Warranty
- Goods are covered by manufacturer warranties where applicable.
- The Company does not provide additional warranties beyond those of the manufacturer.
- Liability for defective Goods is limited to repair, replacement, or refund at the Company’s discretion.
9. Limitation of Liability
- The Company shall not be liable for indirect, consequential, or economic losses.
- Total liability shall not exceed the value of the Goods supplied under the relevant order.
10. Force Majeure
The Company shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to strikes, supply chain disruptions, or natural disasters.
11. Intellectual Property
All trademarks, logos, and content on the Company’s website and materials remain the property of the Company or its licensors. Use without permission is prohibited.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
13. Amendments
The Company reserves the right to amend these Terms at any time. Updated versions will be posted on the Company’s website and apply to all future transactions.
